These Terms and Conditions (“Terms”) of Horys Technologies LTD, a company incorporated on March 9th, 2023, with the BVI Company No. 2119727 March 9th, 2023, pursuant to the British Virgin Islands Business Companies Act of 2004 (as amended) of the British Virgin Islands, govern how Users may use the Horys Mall platform (“Platform”, “Horys Mall”, “Company”, “we”, “us” or “our”), and its functionalities to purchase products and services from its partners (“Services”).
These Terms apply between Horys Mall and you, the person accessing or using the Platform (“User”, “you” or “your”). These Terms form a legally binding contract between Horys Mall and you.
By agreeing to our Terms, you confirm that you have read, understood, and accepted the respective Terms. If you do not agree to the Terms or it would be unlawful for you to use our Services, you should not provide your consent and you are not entitled to use our Services.
By utilizing our Platform and its functionalities, you explicitly acknowledge and accept the potential risks linked to the Services. Horys Mall holds no responsibility for any adverse outcomes resulting from your use of the Platform.
Any content is provided for your general information purposes only and to inform you about the Company, our products, features, services, and other third-party partners (the “Third-Party Partners”), and Third-Party Partner Websites that may be of interest. The information provided here by Horys Mall does not constitute technical, investment, financial, or legal advice or any other type of recommendation. You should always use your own independent judgement, due diligence, and own research when using our Platform and its content.
1. DEFINITIONS
1.1. “Account” means the account created on Homnifi to use the services offered by the Platform.
1.2. “Homnifi” is an intermediary platform that operates as a unified sign-on system enabling Users to access Third-Party Partners’ services and products offered on their platforms.
1.3. “Third-Party Partner” means the service providers, product developers and third parties with which we have service agreements to maintain the Platform. Each Third-Party Partner is governed by their own terms and policies. Horys Mall does not exercise any control or management over these Third-Party Partner websites, products and/or services. Users should conduct their own due diligence to read and understand each of the legal documents governing those products and services.
These Terms may be made available in several languages for educational purposes only. In case of any inconsistency between the English version and a translated version, the English version prevails.
2. ELIGIBILITY
2.1. User refers to either a natural person who is at least 18 years of age, possessing legal capacity and the requisite authority to agree to these Terms, or a legal entity with the necessary authorization to enter into these Terms.
2.2. Eligibility requirements for accessing certain Third-Party Partner Websites may vary. Users should carefully review and comply with the specific terms and conditions, age restrictions, and guidelines on each Third-Party Partner Website. Horys Mall is not liable for any disparities in eligibility criteria among the Third-Party Partner Websites. Users are encouraged to contact the particular Third-Party Partner Website directly for clarification on their access policies. Your access to Third-Party Partner Websites through our Platform is contingent upon your compliance with the respective Third-Party Partner Website's terms and conditions, as well as any applicable laws and regulations in your jurisdiction.
2.3. We reserve the right not to accept participants who are residents of countries or directly and/or indirectly related to persons/entities that are present on any OFAC and FATF political and economic sanctions list.
2.4. If a User decides to use products or services available on Third-Party Partner Websites, being geographically located in countries sanctioned by OFAC or FATF, the User automatically becomes obliged to follow all local and/or international regulations, subject to the sanctions provided for in the respective lists.
3. ACCOUNT REGISTRATION
3.1. To use the Platform, Users must create an Account on the Homnifi platform.
3.2. The Account will provide Users access to their User profile dashboard on the Platform.
3.3. Users shall acknowledge and agree that the Horys Mall reserves the right to impose restrictions on access from specific jurisdictions, as determined by its internal policies. Users shall comply with such restrictions and acknowledge that access to the Platform may be limited or prohibited in certain geographic areas.
3.4. By registering for an Account, Users confirm that use of our Platform and Services will not violate any agreements, obligations, laws, or regulations applicable to them.
3.5. Horys Mall shall provide Users with the option to acquire a Homni Access Membership, which enables Users to undergo the identity verification process on the Homnifi platform. Such verification shall be subject to, and contingent upon, successful completion of the applicable customer due diligence procedures in accordance with relevant laws and regulations. Upon successful verification, Users shall be granted access to all Services made available through the Platform, subject to and in compliance with all applicable legal and regulatory requirements.
3.6. As part of the registration process, Homnifi may request identification and details about Users and their activities. Additionally, Users may be required to submit specific documents that substantiate the provided information. We retain the authority responsibility to seek information from either public or private registries, or alternative sources, or involve third-party service providers to validate the accuracy of the information provided. Such information may be shared with these entities. By accepting these terms, Users affirm the authenticity, precision, and entirety of the information provided during the registration process and throughout the duration of our association.
3.7. Users acknowledge that the decision to accept or decline their registration as a User is solely at our discretion. Notification of this decision will be communicated via the Platform, or the email address provided during the registration process. It is the User's responsibility to furnish a valid and operational email address.
3.8. The User shall also have the obligation to promptly update any changes to the information provided during the Account opening process. Maintaining the continual accuracy and integrity of this information is essential for both us and the smooth operation of the Platform.
4. USER CONDUCT
4.1. As a condition of using the Platform, Users agree not to:
4.1.1. Misuse or attack our Platform by knowingly introducing viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful (such as but not limited to denial-of-service attack);
4.1.2. Post false, inaccurate, misleading, defamatory, unlawful, harassing, libelous, privacy-invading, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable content on our Platform or through our services and in any other kind of social media platforms or private websites;
4.1.3. Use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit for any purpose any content of the Platform not owned by them in a way that violates someone else’s rights;
4.1.4. Attempt to gain unauthorized access to our Platform, the server on which our Platform is stored, or any server, computer, or database connected to our Platform.
4.2. We reserve the right, at our sole discretion, to limit access to the Services (or certain functions thereof) or to fully terminate access in case of repeated breaches of these Terms or to ensure compliance with applicable law or protection of third-party rights and interests.
4.3. Users acknowledge and agree not to, under any circumstances, engage in the direct or indirect purchase of Accounts belonging to other Users on the Homnifi platform, except where such transfer is carried out strictly in accordance with the applicable change of ownership procedure as established and expressly permitted by the Homnifi platform. Violation of this clause may result in immediate termination of access to the Platform.
4.4. Users acknowledge and agree that having their access to the Platform terminated for any reason may lead to loss of all assets related to their account in Homnifi or other Third-Party Partner without any rights and/or reparations against the Platform, its shareholders, directors, employees, partners or any associated entity.
4.5. We retain the right to suspend or terminate Accounts or Services on our Platform, or if necessary, report individuals to the appropriate authorities, and invoke remedies as permitted by applicable laws in cases where prohibited activities are identified.
5. HORYS MALL PLATFORM SERVICES
5.1. Product Purchase and Activation:
5.1.1. Users can browse and select products listed on the Platform. The Platform provides detailed descriptions, images, specifications, and other relevant information to help Users make informed purchasing decisions. The Platform also provides various filtering and sorting options to enhance the browsing experience.
5.1.2. At checkout, Users can select whether they want hardware products to be maintained in-house or shipped to their specified address (this option is only available for hardware products). Pick Up option is also available. Users must carefully review their selection to ensure it meets their needs and requirements. Subproducts or associated digital products will be received by the User directly on the Platform. These subproducts are made available in the User's account for further use or activation as required.
5.1.3. Upon placing an order, Users will receive an order confirmation via email. This confirmation includes details about the purchased products, selected options, payment method, and any applicable shipping information.
5.2. Payment Methods and Redirection:
5.2.1. The Platform supports multiple payment methods to cater to User preferences. Upon selecting a product, Users will be prompted to choose their preferred payment method:
5.2.1.2. Card Payment:
Users selecting card payment (credit or debit card) will be redirected to the Horys Tech platform for secure processing and completion of the transaction.
Payment processing is carried out exclusively by a third-party service provider, Geidea, which is responsible for handling all aspects of the card transaction, including data collection, processing, and storage. Horys Mall does not collect, process, retain, or store any debit or credit card information provided by the User during the payment process.
Users must ensure that the card details they provide through Geidea’s interface are accurate and up-to-date in order to successfully complete the transaction.
All card transactions processed via Geidea comply with the Payment Card Industry Data Security Standard (PCI DSS), ensuring the highest level of security for Users’ payment information.
5.2.1.2. Wallet Payment:
Users choosing the Wallet Payment option may use their available Homnifi virtual points to complete purchases on the Platform.
These virtual points are non-transferable, non-redeemable for cash, and may only be used within the Horys Mall environment to purchase eligible products or services as made available by participating vendors. The balance shown in a User’s wallet reflects only the points allocated or earned through the Homnifi platform and does not represent a deposit, electronic money, or a stored value.
Users are solely responsible for ensuring that they have sufficient virtual points in their wallet at the time of purchase.
5.2.2. Additional Purchase Options:
Horys Mall reserves the right to implement and make available additional or alternative purchase options on the Platform from time to time, including but not limited to flexible payment schemes, installment plans, subscription-based purchases, deferred payment arrangements, or any other models designed to enhance User accessibility and convenience. Any such purchase options will be published and described on the Platform, along with the applicable terms and conditions governing their use. Users are responsible for reviewing and understanding these terms prior to selecting or engaging in any such alternative purchase option.
5.3. Order Fulfilment and Shipping
5.3.1. Order Processing: once the payment is confirmed, Horys Mall initiates the order processing.
5.3.2. Shipping Options: for hardware products, Users can choose between in-house maintenance, shipping or pick up. If shipping is selected, once the order is dispatched, Horys Mall provides a general view of the shipping order details and tracking number.
5.3.3. Delivery and Receipt: Users must ensure that the shipping address provided at the time of purchase is accurate and complete. Upon delivery, Users are responsible for promptly inspecting the products and reporting any issues or discrepancies to Horys Tech’s customer support https://support.horystech.com/support/home.
5.3.3.1. In the event that delivery is unsuccessful due to reasons attributable to the User, including but not limited to:
(i) refusal to pay for customs fees, refusal to provide customs with relevant documentation or failure to accept the delivery, Horys Mall reserves the right to designate the order as returned.
In such cases, the User shall be required to pay the applicable charges for a second delivery attempt. Users must contact the Horys Mall support team to arrange for re-delivery and complete the corresponding payment. This policy applies exclusively to physical hardware products. Returned items under these circumstances are not eligible for any refund;
(ii) failure to provide a complete and valid shipping address, Horys Mall shall issue at least 3 (three) written reminders over a period of 60 (sixty) calendar days requesting the necessary shipping details. If the User fails to furnish the required information within this period, the hardware product shall be marked as no longer eligible for shipping and will remain hosted in-house by the Company. From that point onward, the user shall continue to be subject to any applicable hosting and maintenance fees as per the applicable Homnifi policies. Horysmall shall have no further obligation to initiate or facilitate shipment of the hardware product thereafter.
5.3.4. In-House Maintenance: If Users select in-house maintenance for hardware products, and once payment is confirmed, Horys Mall will assign an in-house machine to the User’s account, which shall also be activated on the Homnifi platform. Horys Mall shall ensure that the hardware products are securely stored and properly maintained, and made available for activation and use, in accordance with the User’s instructions. The cost of in-house maintenance, including storage and service, for the first year is included in the purchase price of the hardware. Thereafter, beginning from the second year following the date of payment, Users shall be responsible for the applicable ongoing storage and service charges in respect of the in-house hardware products, as determined in accordance with the then-current Homnifi policies.
5.3.5. Pick Up: By selecting the pick up option at checkout, the User acknowledges and agrees to review and comply with all the pick up instructions provided. Users shall not proceed to the designated pick up location until they have received confirmation that their order has been marked as “Ready for Pickup.” Users need to contact the Horys Tech Support team in order to schedule the Pick Up.
Should a User be unable to complete the scheduled pick up, and instead wish to switch to a delivery service, they must notify and coordinate with Horys Mall Support at https://support.horysmall.com/support/home to request the change. Approval of such a change is subject to Horys Mall discretion and applicable policies. For the avoidance of doubt, any amount previously paid in relation to the pick up service shall be deemed forfeited and non-refundable. In addition, the User shall be required to pay the full applicable fee for the delivery service, as determined by Horys Mall at the time of the request.
5.4. Customer Support and Returns
5.4.1. Customer Support: Horys Mall provides comprehensive customer support to assist Users with any queries or issues related to their purchases and payment processes. For product activation, Users can refer to Homnifi Support and in case of any hardware related concern, Horys Tech support.
5.4.2. Return Policy: Horys Mall does not maintain an independent return policy. Users acknowledge and agree that any returns or exchanges of hardware products purchased through Horys Mall are governed exclusively by the Horys Tech Return and Refund Policy (available at https://docs.horystech.com/legal-documents/return-and-refund-policy), which applies to all such transactions. Users must review and comply with the procedures and conditions set forth in that policy, including any applicable time frames, return conditions, and restocking fees.
5.5. Users will be able to log in to the Platform in order to, namely, view their personal information, payment methods, former purchases, checkout cart and all the detailed information related to their account and services.
5.6. Users are solely responsible for ensuring that they use hardware and software compatible with the Platform.
5.7. Horys Mall shall not be liable for any damages, including but not limited to, direct, indirect, incidental, punitive, and consequential damages arising from the use of unauthorized hardware or software to access and use the Services and the Platform.
5.8. Users acknowledge that we may update or modify the authorized hardware and software Platform requirements at any time, and they are responsible for ensuring that the hardware and software meet the updated or modified requirements.
6. FEES
6.1. All fees and charges related to your use of the Platform are available on our website.
6.2. Users are solely responsible for determining whether, and to what extent, any taxes apply to transactions conducted for the Services, and for withholding, collecting, reporting and paying the correct amount of tax to the appropriate tax authorities.
7. RISKS
7.1. By accessing our Platform, Users acknowledge and accept the inherent risks associated with the use of the Services and the Platform. We diligently strive to furnish state-of-the-art systems and implement robust security measures. Nonetheless, certain issues and risks are unavoidable. If such issues or problems arise in connection with your use of our Platform, resolution timelines may vary, and certain issues may remain unresolved. By agreeing to these Terms, you acknowledge that Horys Mall is not responsible for the aforementioned risks on our Platform.
7.2. Users are solely responsible for assessing the Services prior to utilization, and all transactions facilitated through the Services are irreversible, conclusive, and non- refundable. The Services may be disabled, disrupted, or adversely affected by sophisticated cyber-attacks, increases in activity, computer viruses, and/or other operational or technical challenges, among other factors. Horys Mall explicitly disclaims any ongoing obligation to notify Users of all potential risks associated with using and accessing our Services. By utilizing the Services, Users acknowledge and accept these risks, and they agree not to hold Horys Mall liable for any resulting losses.

8. YOUR PRIVACY AND PERSONAL INFORMATION
User privacy and personal information are important to Horys Mall. Please refer to our Privacy and Cookies Policy for detailed information.
9. LINKS TO THIRD-PARTY PARTNER WEBSITES
The Platform may contain hyperlinks or references to Third-Party Partner advertising and Third-Party Partner Websites. These are provided for convenience and educational purposes only. Horys Mall has no control over Third-Party Partner advertising or Third-Party Partner Websites and assumes no responsibility for any content, material, or information contained in them. The display of any hyperlink and reference to any Third-Party Partner advertising or Third-Party Partner Websites does not imply endorsement of such Third-Party Partner’s Websites, products, or services. Users' use of a Third-Party Partner Platform may be governed by the terms and conditions of that third-party platform and is at their own risk.
10. FORCE MAJEURE
Horys Mall shall not be held liable for any failure to comply with these Terms due to circumstances beyond our reasonable control, including but not limited to governmental actions, acts of terrorism, war, fires, disruptions in telecommunications or internet services, network provider issues, software malfunctions, network-wide compromises, hacking, strikes, labour disputes, accidents, civil or military disturbances, or other catastrophic events. In no Force Majeure event shall Horys Mall be responsible for inaccuracies, errors, delays, omissions, service disruptions, or interruptions in the Services, whether in transmission or delivery of information as required by these Terms.
11. LIMITATION OF LIABILITY
Horys Mall does not assume any liability for any special, direct, indirect, incidental, punitive, or consequential damages arising from or in connection with the Platform, including but not limited to, loss of profits or revenues, loss of data, loss of assets, use of the Platform or Third-Party Partner Website. Horys Mall’s liability for any claim related to the Platform shall not exceed the value of the assets available in the User’s Account at the time of loss, regardless of the form of action, whether in contract, tort (including negligence), strict product liability or any other cause of action or legal or equitable theory.
12. DISCLAIMERS
12.1. There is a risk that Horys Mall may be temporarily or permanently unable to provide access to the Platform and thus also to the Services. The Platform is provided “as is” and “as available”. Horys Mall and its Third-Party Partner Websites expressly disclaim all representations or warranties of any kind, whether express, implied, statutory, or otherwise about the Platform and Services, including, without limitation, any implied warranties of merchantability for a particular purpose, non-infringement or course of performance.
12.2. Horys Mall does not warrant that (i) the Platform will function uninterrupted, secure, or available at any particular time or location, or will be error-free or free of harmful components; (ii) any errors or defects will be corrected; (iii) the Platform is free of viruses or other harmful components; (iv) any content and data will be secure or not otherwise lost or damaged; (v) the results that may be obtained from the use of the Services will be accurate or reliable; or (vi) the results of using the Platform will meet your requirements or expectations.
13. ACCURACY OF INFORMATION
13.1. Horys Mall endeavours to ensure the accuracy, currency, and bug-free nature of the Platform; but shall not be held responsible for any failure attributable to causes beyond its control. Horys Mall does not guarantee that the Platform is suitable for any specific purpose. Users’ reliance on the information provided on the Platform is at their own risk.
13.2. Horys Mall reserves the right to suspend or terminate access or operation of the Platform at its discretion. Any content on the Platform is for general informational purposes only, providing information about us, our products, news, features, services, and other Third-Party Partner Websites that may be of interest. However, this content has not been tailored to the Users specific requirements or circumstances and does not constitute technical, financial, legal advice, or any other type of advice. It should not be relied upon for any purpose. Users should exercise their independent judgment when using our Platform and its content.
13.3. Horys Mall strives to keep the Platform available for Users; but it does not guarantee uninterrupted access or consistent availability.
14. INDEMNIFICATION
14.1. Users (herein referred to as the “Indemnifying Parties”) agree to indemnify and hold harmless Horys Mall, its officers, directors, employees, and affiliates (herein referred to as the “Indemnified Parties”) from and against any and all claims, demands, suits, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to their (i) use of the Platform or the Services, (ii) violation of applicable laws, regulations, or governmental requirements or (iii) breaches of these Terms or infringement of any rights of another.
14.2. The Indemnifying Parties indemnification obligations are contingent upon the Indemnified Parties:
14.2.1. Promptly notify the Indemnifying Party of any claim or potential claim subject to indemnification.
14.2.2. Cooperating fully with the Indemnifying Party in the defence or settlement of any such claim.
14.2.3. Allowing the Indemnifying Party to control the defence and settlement negotiations, provided that the Indemnifying Party acts reasonably and in good faith.
14.3. This indemnification clause shall survive the termination or expiration of these Terms. The Indemnifying Parties indemnification obligations herein are not subject to any limitation of liability or exclusion of consequential damages set forth in these Terms. This clause is a material provision of these Terms, and both parties acknowledge and agree to its significance.
15. MODIFICATION
Horys Mall is consistently engaged in the ongoing development and improvement of the Platform and Services. Horys Mall reserves the right to modify, restrict access to, or terminate any functionalities and services on the Platform. We also reserve the right to unilaterally amend or update these Terms at any time without prior notice. Continued use of the Platform and Services signifies acceptance of the revised Terms.
16. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
16.1. The intellectual property rights in the Platform and in any text, images, video, audio, or other multimedia content, software, or other information or material submitted to or accessible from the Platform (“Content”) is owned by Horys Mall and our licensors.
16.2. Horys Mall and its Third-Party Partners reserve all intellectual property rights, including, but not limited to, all copyright, trademarks, domain names, codes, websites, design rights, database rights, patents, and all other intellectual property rights of any kind, whether registered or unregistered anywhere in the world. This means that Horys Mall and its Third-Party Partners are owners of such rights and are free to use them as per their own interest.
16.3. These Terms do not grant any rights to Users regarding the Platform or Content, except as required for accessing it. Users agree not to modify, attempt to circumvent, or remove any notices present on the Platform or Content, including intellectual property notices, particularly those related to digital rights or other security technology embedded or incorporated within the Platform or Content.
17. NO THIRD-PARTY RIGHTS
These Terms are enforceable only by Horys Mall and the Users, and no third-party has the right to enforce any provision herein.
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1. The laws of the British Virgin Islands govern these Terms. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the British Virgin Islands courts.
18.2. Horys Mall strives to expeditiously and effectively address any disputes with Users. If the User wishes to file a complaint, kindly contact us at https://support.horysmall.com/support/home
18.2. Users understand and agree that the support related to the products and services being sold in the Platform are from the entire responsibility of their respective manufacturers and that Horys Mall has no powers to provide any kind of support related to the usage and warranty of such products.
